1. Preamble
1.1 This MOU summarizes key elements of the business relationship and scope of the partnership that Company and Partner agreed to work together under the umbrella of the Referral Partner Agreement that Company and Partner have entered into.
1.2 No rights or obligations other than those expressly contained in this document are to be implied from this MOU. Nor does this MOU give rise to any obligation on any party to supply or purchase products or from each other.
1.3 Each party agrees to keep the existence and nature of this MOU confidential. Any publicity, advertisement or other disclosure with regard to this MOU, or otherwise without the prior written consent of the other party is not allowed.
1.4 This MOU constitutes the entire MOU and understanding between the parties with respect to its subject matter and replaces and excludes all previous MOU’s between, or promises or representations or undertakings by, the parties with regard to such subject matter. All parties agree that no representation, undertaking or promise was given or implied from any contact between the parties prior to this MOU except as expressly stated in this MOU.
1.5 Both parties agree this MOU is a non-legally binding document nor shall penalties occur for non-performance of MOU goals.

5. Confidentiality
This MOU and its content shall be deemed as confidential information according to the rule and regulations of the NDA and partner agreement the parties have entered into.
6. Signatures
In witness whereof, the parties to this MOU through their duly authorized representatives have executed this MOU on the days and dates set out below, and certify that they have read, understood, and agreed to the terms and conditions of this MOU as set forth herein.
The effective date of this MOU is the date of the signature last affixed to this page.
